Definitions

  • Client: Refers to the individual or entity contracting the website development services.
  • Developer: Refers to Coderlly Private Limited, the website development services.
  • Project: Refers to the specific website development work outlined in the scope of work.

Introduction

This contract (the “Agreement”) is entered into between [Your Company Name], hereinafter referred to as the “Developer/Coderlly Private Limited,” and [Law Firm Name], hereinafter referred to as the “Client.”

Project Terms and Scope of Work

  • The Developer agrees to design and develop a professional website for the Client, as outlined in the project proposal.
  • The one-time cost of all the website development. Any specific requirements will be charged based on our estimates/quotes and within the given time frame. We kindly request scheduling a face-to-face meeting to ensure our mutual understanding is clear.
  • By accepting the quote, you agree to and accept the terms and conditions of Coderlly Private Limited. Acceptance will be done via email, payment of initiation, or signing a quote.
  • The Developer shall provide the Client with website development services limited to WordPress theme-based websites, including but not limited to theme installation, customization, and configuration.
  • Website pages include a Home Page, Practice Area Sections, Resource Page (Blog, News, etc.), Contact Us Page, and About Us Page.
  • The number of pages for the website development package shall not exceed 10 pages. Any additions to the number of pages will be subject to additional charges.
  • Clients must ensure they have read the proposal/quote/estimate provided by Coderlly and that their requirements are fully understood. Clear guidelines and specific details are required. Failure to provide these details may lead to additional charges for changes made post-development.
  • Clients must clarify all aspects of website development and ensure that the quote matches their requirements.
  • Any changes to the project scope must be agreed upon in writing and may result in additional fees.
  • Complexity related to specific tasks must be advised in advance and included in the proposal for costing purposes. Any discrepancy arising due to unclear requirements will not be borne by Coderlly Private Limited.
  • Coderlly Private Limited will strive to meet project deadlines; reasonable delays may occur if functionalities are redefined or modified.
  • Delays on the client’s part can result in project timeline extensions and potential extra expenses.
  • Any programming errors or bugs reported during or immediately after development will not result in additional charges.
  • We will build an SEO mobile-friendly website, tested on recent versions of IE, Firefox, Chrome, and Safari.
  • The client must inform us if testing is required on a different browser.
  • Responsive/multi-device compatible web pages are tested on iPhones and iPads. Clients must discuss testing on other devices with the Coderlly web development team.
  • All communications are conducted via email. Clients are responsible for informing the Coderlly team of any changes in contact information/email address.

Client Responsibilities

  • The Client will provide all necessary material and content required for the project, including text, images, and other assets.
  • The Client is responsible for reviewing and approving work in a timely manner. Failure to do so may result in an extension of the quoted time for website development.

Website Content

  • Website content and related materials need to be provided within the first two weeks of starting the project. Delays can potentially extend the project timeline and may lead to additional charges if they surpass a reasonable timeframe.
  • The Coderlly web development team reserves the right to review and withhold the addition of any misleading or inappropriate content provided by the client.
  • These rights do not impose upon us the responsibility to oversee or exercise editorial authority over your content or any other element of your website.
  • The Coderlly web development team retains the right to change or modify the content provided by the client before publication.
  • Chatbots provided are free options, such as Tawk.to.
  • Basic AI integrations offered by WordPress are included as free options.
  • Language translation can be done using Google Translate; other options are available if required.
  • Premium themes can be selected, limited to a maximum of 50 themes.
  • Appointment scheduling is provided through free trial accounts.
  • Client intake forms serve as lead collectors.

Support and Maintenance

  • The Client is responsible for ongoing maintenance and updates unless a maintenance agreement is in place.
  • The Coderlly web development division is not responsible for issues caused by third-party plugins or extensions.

Monthly Support Cost

  • A support cost of $50/month is mandatory for all clients for one year. Clients can extend support services as per their requirements after this period.
  • Support requests must be sent via email.
  • Monthly support fees will be charged to the client’s credit card on file on the 1st day of every month. Changes to the day of deduction must be requested by the client in advance.
  • Packages are designed for website maintenance tasks only; hours may not be used for projects such as full redesigns or major functionality add-ons.
  • The monthly support fee does not include Digital Strategy, Business Analysis, Solution Architect, SEO, or Digital Marketing work.

Domain

  • The domain is to be provided by the client. Charges for domain registration/renewal are not included unless specifically mentioned. A separate quote will be provided if needed and requires client approval.
  • Corporate email is only offered if the client purchases the domain and hosting service.

Hosting

  • Hosting charges are not included unless specified. Coderlly Private Limited can organise hosting solutions if required; an additional $150 will be charged for hosting and SSL certificate.
  • Clients managing their own hosting must consult with us before finalising decisions on the hosting type and database to ensure alignment with development requirements. We will need complete access and hosting support for testing and deploying the application. Coderlly Private Limited is not responsible for delays or errors from the hosting company.
  • If the website is not hosted on a Coderlly server, any additional man-hours required due to server or network-related issues are not covered in quotes and may be charged separately.

Payment and Refund

  • The client agrees to pay Coderlly Private Limited as outlined in the project proposal.
  • Payment terms, including milestones and due dates, are specified in the project proposal.
  • Invoices not paid within 5 working days from the due date may incur late fees.
  • There are no refunds for fees related to the monthly support package.

Intellectual Property

  • Coderlly may temporarily disable or suspend website services if fees are not paid or if there is a breach of this agreement.
  • The Client retains ownership of any pre-existing intellectual property provided by the Developer.
  • The Developer retains ownership of any pre-existing intellectual property incorporated into the project unless otherwise specified in writing.
  • Upon full payment, the Client owns all intellectual property rights to the final website, except for third-party materials and open-source components, which are subject to their respective licences.
  • Upon full payment, the Client will own the website and its content.
  • The Developer retains the right to showcase or use the project in their portfolio or for promotional purposes.

Confidentiality

  • Both parties agree to keep all project-related information and materials confidential. Failure to do so may result in legal action.

Timeline

  • The project timeline is outlined in the project proposal. The Developer will make every effort to meet agreed-upon deadlines.

Dispute, Liability, and Indemnity

  • The client must inform the Developer one month prior to terminating the service.
  • Upon termination, Coderlly is obligated to retain the client’s content in the format maintained in the production environment for up to thirty (30) days (the “Content Retention Period”).
  • If the client makes a written request during the 30-day period, Coderlly will provide the following content: company logo file(s), image files, and text. Content exports will not include proprietary design templates, themes, or customised elements.
  • If the domain name was initially acquired by us or transferred to us, we will collaborate in good faith to facilitate the transfer of the domain name.
  • Either party may terminate the contract with written notice. Termination may result in additional fees based on work completed.
  • Disputes arising from this contract will be resolved through negotiation and mediation.
  • T&Cs are subject to change anytime at the will of the company.

Governing Law

This contract is governed by the laws of California, USA.

Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes all prior agreements or understandings.

Amendments

Any changes to this contract must be made in writing and agreed upon by both parties.

Severability

If any provision of this contract is found to be unenforceable, the remaining provisions will still be in effect.
